1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RCFE Assist ("RCFE Assist," "we," "us," or "our") governing your access to and use of the website and services available at rcfe-assist.com (the "Service").

By creating an account or accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is intended solely for use by businesses and professionals operating or managing Residential Care Facilities for the Elderly (RCFEs) in California. The Service is not intended for personal use.

2. Description of Service

RCFE Assist is a subscription-based software-as-a-service (SaaS) platform that provides California RCFE administrators and operators with AI-powered compliance guidance. The Service delivers information grounded in California Code of Regulations Title 22, the Health and Safety Code, and Program Instructional Notices (PINs) issued by the California Department of Social Services (CDSS).

The Service is a decision-support tool only. See Section 7 (Disclaimer – Not Legal Advice) for important limitations on the nature of information provided.

3. Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organization. By registering, you represent and warrant that all information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use at the contact information in Section 14.

4. Subscription and Payment

Access to the Service requires a paid subscription at $97.00 USD per month ("Subscription Fee"), billed on a recurring monthly basis via Stripe. By providing a valid payment method at registration, you authorize us to charge your payment method for the Subscription Fee on each monthly billing cycle.

We accept the following forms of payment: Visa, Mastercard, American Express, and Discover.

Subscription fees are billed in advance. If a payment fails, your access to the Service may be suspended until payment is successfully collected.

5. Free Trial

New users may be offered a seven (7) day free trial ("Trial Period"). A valid payment method is required at the time of registration. You will not be charged during the Trial Period. At the conclusion of the Trial Period, your payment method will automatically be charged the monthly Subscription Fee and your subscription will continue on a recurring monthly basis unless you cancel prior to the end of the Trial Period.

6. Cancellation and Refund Policy

You may cancel your subscription at any time by logging into your account and accessing the customer portal. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service through that date.

All subscription fees are non-refundable. No refunds or credits will be issued for partial months of service, unused access, or any other reason once a billing cycle has commenced. If you cancel during the Trial Period, you will not be charged.

RCFE Assist provides general compliance information and guidance based on California Department of Social Services regulations and Program Instructional Notices (PINs). The information provided by this Service does not constitute legal advice, regulatory advice, or a substitute for consultation with a licensed attorney or qualified compliance professional.

AI-generated responses may contain errors, omissions, or outdated information. Regulations and PINs are subject to change. Users are solely responsible for independently verifying all information against current applicable regulations before making any operational or compliance decisions.

RCFE Assist expressly disclaims all liability for any damages, penalties, citations, regulatory actions, or losses of any kind arising from reliance on information provided by this Service.

The Service and all content, features, and functionality are owned by RCFE Assist and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your active subscription period.

The Service may contain links to third-party websites, including regulatory resources and payment processors. These links are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party websites or their content.

11. Limitation of Liability

To the fullest extent permitted by applicable law, RCFE Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind arising from or related to your use of the Service.

In no event shall our total cumulative liability to you exceed the lesser of: (a) the total amount paid by you in the six (6) months immediately preceding the event giving rise to the claim, or (b) the amount paid in the most recent monthly billing cycle.

12. Dispute Resolution and Arbitration

Informal Resolution. Before initiating formal proceedings, you agree to attempt to resolve any dispute informally for thirty (30) days from the date of notice.

Binding Arbitration. If informal resolution fails, any dispute shall be resolved by binding arbitration in Los Angeles County, California. The arbitrator's decision shall be final and binding.

Arbitration Fees. We will pay arbitration fees if they are deemed excessive.

Litigation Venue. To the extent any matter proceeds in court, you consent to the exclusive jurisdiction of courts in Los Angeles County, California.

Time Limit on Claims. Any claim must be brought within one (1) year of the date it accrued, or it is permanently barred.

Governing Law. These Terms are governed by the laws of the State of California.

13. Modifications

We may modify these Terms at any time. Material changes will be communicated by email. Continued use after the effective date constitutes acceptance.
